Located along Anson Road, Springleaf Tower is a 37-storey commercial office development that was undertaken in the late 1990s by a subsidiary of the Ban Hin Leong Group. Yongnam was contracted to carry out structural works for the project and, as part of the agreement, was to receive ownership of the 23rd floor in lieu of cash payment — a practice sometimes used in large-scale construction projects.
The Legal Dispute
When the developer encountered financial difficulties during the Asian Financial Crisis, it defaulted on its obligations to Yongnam. Subsequently, United Overseas Bank (UOB), the project’s mortgage lender, attempted to foreclose and sell the entire property, including the 23rd floor that had been contractually promised to Yongnam.
Yongnam filed a lawsuit to assert its claim over the unit. After a protracted legal battle, the Singapore High Court ruled in Yongnam’s favor, determining that UOB could not include the 23rd floor in its foreclosure sale because ownership had already been contractually transferred to Yongnam.

The court’s decision marked a pivotal moment in Singapore’s construction and property law, affirming that non-monetary agreements, such as the transfer of property in lieu of payment, are enforceable.
